Lotus.Eco User Generated Content Terms of Use

Lotus.Eco is a registered brand under the Company Naari Pty Ltd ("Lotus.Eco"). Lotus.Eco will reach out to social media users from time to time , to feature our favourite content on our various sites (www.lotus.eco and others)(the "Site"), social channels and various promotional materials, You're reading this because we love your content so, we're seeking your permission to feature it. Thanks for considering our request.
When you reply with #wwwlotuseco or grant your permission/approval through system(s) maintained by our service provider(s) providing social curation tools, user-generated content ("UGC") management systems, you consent to Lotus.Eco using your social media content ("User Content") under these Terms of Use.

2. You are participating in an event held by Lotus.Eco
Lotus.Eco may hold events (including without limitation competitions and promotions) using websites and social media platform(s) that requires you to submit your User Content. Each such event will have its own terms and conditions ("Event Terms"), which you are advised to review. Please use the relevant hashtag(s) indicated under the Event Terms to ensure your submission for the event is valid ("Event Hashtag"). By using such Event Hashtag in your submission, you will be deemed agree to the Terms and the Event Terms.
 

Lotus.Eco reserves the right to alter these Terms of Use without advance notice by posting a revised Terms of Use. Accordingly, you should review the Terms of Use each time you grant permission or authorization to feature your User Content.
 
You hereby grant to Lotus.Eco and its related companies, legal representatives, assigns, and third-party service providers, and their respective retail partners, marketing or public relations agencies, and other affiliates (the “Licensed Parties”) a worldwide, perpetual, irrevocable, royalty-free, fully-paid, non-exclusive, transferable, sublicensable right to use your User Content in any manner to be determined in the Licensed Parties’ sole discretion, including but not limited to on webpages and social media pages operated by the Licensed Parties, in promotional e-mails and advertisements, and in any and all other marketing, promotional and advertising initiatives, and in any media now or hereafter known (collectively "Lotus.Eco Content"). You User Content may also be used by Lotus.Eco in connection with its business, including Lotus.Eco's product feature, marketing, promotional, advertising and other consumer-related activities (the “Lotus.Eco Services”). The Licensed Parties may use, display, reproduce, translate, distribute, sell, modify, transmit, create derivative works from, combine with other materials, alter and/or edit your User Content in any manner in their sole discretion, with no obligation to you whatsoever.
You grant us the right, at our sole discretion and choice, to use your personal data (which may include without limitation your username, real name, image, likeness, location) in connection with our use of the User Content. Notwithstanding the above, we may but are not obliged to use or continue any usage the User Content and/or your personal data. We retain the right to, at our sole discretion and choice, stop or remove any User Content at any time for any reason in our Lotus.Eco Content. We reserve the right to moderate the use of User Content and Lotus.Eco Content. Our privacy policy and/or data protection policy, published on our website, (collectively "Policies") form part of these Term of Use and are deemed to be incorporated hereto by reference. Unless expressly defined hereto or the context requires otherwise, terms defined in the Policies shall have the same meaning ascribed to them hereto. By agreeing to these Terms of Use, you will be deemed to be entering into an agreement with us; and accordingly, you would be representing and warranting to us at first instance that:

• you are at least 18 years old or considered a legal adult in the jurisdiction that you reside in;
• you have the ability and authority to agree to the Terms of Use;
• you are solely responsible for your User Content;
• you own all rights in and to your User Content and/or have obtained appropriate rights and permissions from any and all other persons and/or entities who own, manage or otherwise claim any rights with respect to such User Content;
• the Licensed Parties’ use of your User Content as described herein will not violate the rights, including but not limited to copyright, trademark, patent, trade secret, privacy, publicity, moral, proprietary or other rights, of any third party, or any law, rule or regulation, and
• the User Content is not libellous, defamatory, obscene, pornographic, abusive, indecent, threatening, harassing, hateful, or offensive or otherwise unlawful.

 
The User Content that you submit and/or participation in an event held by Lotus.Eco is deemed non-confidential and the Licensed Parties have no obligation to maintain the confidentiality of any information, in whatever form, contained in any submission, except pursuant to the Licensed Parties’ respective privacy policies.
You hereby release, discharge and agree to hold the Licensed Parties, and any person acting on their behalf, harmless from any liability related in any way to the Licensed Parties’ use of your User Content.
 
Intellectual Property Rights
The Site, Lotus.Eco Content and Lotus.Eco Services may be protected by copyright, trademark and other intellectual property laws. You acknowledge and agree that you do not acquire any ownership or other rights in proprietary information and materials of Airbnb by authorizing use of your User Content or otherwise using or accessing the Site, the Lotus.Eco Content or Lotus.Eco Services.
 
Additional Terms
These Terms of Use apply to the entire Site, the Lotus.Eco Content and Lotus.Eco Services and to your User Content unless otherwise provided. In addition, to the extent your User Content is displayed on the Site or on any of the Lotus.Eco Content or in connection with the Lotus.Eco Services, you also will be subject to additional terms of use, agreements, guidelines or rules provided by Lotus.Eco applicable to such Lotus.Eco Services and Lotus.Eco Content, including but not limited to those set forth on the Lotus.Eco website at https://www.lotus.eco/pages/policies-and-legal-stuff, and you hereby agree to be bound by such additional terms of use or service, agreements, guidelines, instructions or rules provided or posted by Lotus.Eco.
 
Miscellaneous
These Terms of Use are personal to you and may not be assigned or transferred by you for any reason whatsoever without Lotus.Eco's prior written consent; and any action or conduct in violation of the foregoing shall be void and without effect.
You agree that if Lotus.Eco does not exercise or enforce any legal right or remedy which is contained in these Terms of Use (or which Lotus.Eco has the benefit of under any applicable law), this will not be taken to be a formal waiver of Lotus.Eco's rights and that those rights or remedies will still be available to Lotus.Eco.
If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these Terms of Use are invalid, then that provision will be removed without affecting the rest of the Terms of Use. The remaining provisions of these Terms of Use will continue to be valid and enforceable.
